• Adyverse Media reserves the right to pause or terminate projects in case of delayed or incomplete payments.

4. Client Responsibilities

Clients are responsible for:

• Providing accurate and timely information needed to execute the project.

• Reviewing and approving deliverables within the agreed timelines.

• Ensuring all materials provided (e.g., logos, copy, media) do not infringe any third-party rights.

5. Intellectual Property

• All materials, designs, and strategies developed by Adyverse Media remain the agency’s intellectual property until full payment is received.

• After final payment, ownership of specific project deliverables (as defined in the contract) transfers to the client.

• Adyverse Media may showcase completed projects in its portfolio or promotional content unless otherwise agreed upon in writing.

6. Limitation of Liability

Adyverse Media will not be liable for:

• Any indirect, incidental, or consequential damages arising from the use of our website or services.

• Losses resulting from inaccurate information provided by clients.

7. Confidentiality

Both parties agree to keep all project-related information confidential and not disclose it to any third party without prior consent.

8. Termination

Either party may terminate the engagement with prior written notice. Any work completed or resources allocated up to the date of termination will be billed accordingly.

9. Governing Law

These Terms are governed by and construed in accordance with the laws of India, with jurisdiction in New Delhi.
